Samuel N. Klewans is a partner with Grad, Logan, Klewans, and Bowen. Throughout his career, he has represented a variety of businesses, both public and private, and professional practices. He has been AV rated by Martindale Hubbell for over 35 years, named in Outstanding Lawyers of America and voted Virginia Business Legal Elite from 2006 to the present.
Mr. Klewans devotes a significant amount of his practice to medical and dental business practice matters, and brings an extensive knowledge of business and business law to these professional practices. He is a nationally recognized lecturer on associateships and partnerships in dental practices, lecturing at Virginia State Bar continuing legal education programs and Professional Practice Management Consultants programs.
Mr. Klewans carefully formulates and executes the appropriate solution for his clients and their businesses based on his comprehensive knowledge of business law, corporate law, and the business operations of healthcare practices. Mr. Klewans has extensive experience in a broad range of transactions including purchases and sales of professional practices and businesses, entity selection, formation, ownership and structuring issues, how and why to take in an associate or partner, evaluating and determining practice equity, how to structure and finance transactions, drafting space and expense sharing agreements, drafting buy-sell and operating agreements, formation of management companies, drafting practice management agreements, planning for practice succession and transitions, resolution and dissolution of practice disputes, drafting of a wide variety of commercial contracts, and lease negotiations.
Mr. Klewans is an active member of the Virginia State Bar. He has served as Secretary and Chairman of the 10th District Committee, Chairman and Vice Chairman of the State Bar Disciplinary Board, and has been a faculty member on the Committee on Professionalism.
Prior to joining the firm, Mr. Klewans was a Law Clerk for the Honorable Oren R. Lewis, United States District Judge for the Eastern District of Virginia, Alexandria Division. He has practiced with Fried, Fried & Klewans and Klewans & Associates. He was also a 1st Lieutenant in the United States Army Reserve Judge Advocate General Corps.
